By accessing or using any services provided by Clytrix ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. These Terms apply to all visitors, users, and others who access or use our services, including but not limited to hosting, domain registration, and email services.
2. Description of Services
Clytrix provides web hosting services, domain registration, email hosting, SSL certificates, backup solutions, and related digital infrastructure services. We reserve the right to modify, suspend, or discontinue any service with or without notice at our sole discretion.
3. Account Registration
To access our services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities that occur under your account
4. Payment & Billing
All services are billed in advance. Invoices are generated 7 days before the service due date. Payments are due on the due date. We accept major credit cards, PayPal, and other payment methods as listed in our client area.
If payment is not received by the due date, the following billing lifecycle applies:
- Suspension: Services will be suspended 1 day after the due date.
- Late Fee: A late fee equal to 10% of the invoice amount will be applied if the invoice remains unpaid 5 days after the due date.
- Termination & Deletion: Services will be permanently terminated and all hosted data and backups will be purged 7 days after the due date. Clytrix is not liable for data loss due to termination for non-payment.
Prices may change with 30 days' notice. Existing customers on active subscriptions will be grandfathered at their current price until renewal.
5. Refund Policy
We offer a 30-day money-back guarantee on shared, WordPress, and reseller hosting plans. Domain registrations, dedicated servers, VPS plans, and SSL certificates are non-refundable after provisioning. Domain reseller pre-funded deposit balances are non-refundable once consumed (unused balances may be refunded within 14 days subject to a 5% processing fee). If a hosting plan includes a free domain name and is refunded under the money-back guarantee, the standard retail registration fee of the domain will be deducted from the refund. 6. Prohibited Uses & Resource Limits
You may not use our services to:
- Host, distribute, or transmit illegal content
- Send unsolicited bulk email (spam)
- Mine cryptocurrency without prior written approval
- Run IRC bots or unauthorized proxy services
- Host phishing, malware, or fraudulent content
- Launch DDoS attacks or participate in any network abuse
- Violate any applicable laws or regulations
System Resource Limits (Shared & WordPress Hosting): To ensure server stability, individual accounts are subject to the following resource allocations:
- CPU/RAM allocation: Accounts are limited to a maximum of 100% CPU core and 1GB Shared RAM.
- Inode Limit: A maximum limit of 100,000 inodes (files, directories, emails) per account is enforced.
- Cron Jobs: The execution frequency of cron jobs must not be less than 1 minute. Cron jobs running more frequently or causing server overload will be disabled.
Email Sending Limits: To prevent IP blacklisting and ensure high deliverability:
- Accounts are strictly limited to sending a maximum of 20 emails per hour and 100 emails per day.
- Mailing lists, newsletters, and bulk marketing campaigns are prohibited on shared and WordPress hosting servers. All such mailings must utilize external SMTP relays.
Violation of these limits or prohibited uses will result in automatic throttling, temporary suspension, or immediate termination of the service without refund.
7. Uptime & Service Level Agreement (SLA)
We guarantee 99.9% monthly uptime for shared hosting plans and 99.99% for dedicated servers. Downtime is measured as the total accumulated minutes in a calendar month that your service is unavailable due to factors within our control.
The following are excluded from SLA calculations:
- Scheduled maintenance windows (announced with 48 hours notice)
- Downtime caused by customer actions, scripts, or configurations
- Third-party service failures (DNS providers, CDN, payment processors)
- Force majeure events (natural disasters, civil unrest, acts of war)
- DDoS attacks targeting your specific services
- Network issues beyond our upstream providers
SLA Credits: For every 1 hour of verified qualifying downtime beyond the SLA threshold, we will credit your account with a prorated hosting credit. Credits are applied to your account within 10 business days of a verified claim and may not be exchanged for cash. To claim an SLA credit, open a billing ticket within 7 days of the incident with details of the downtime.
8. Domain Name Services
Domain registration and management services are provided subject to the following additional terms:
- ICANN Compliance: Domain registrations are subject to ICANN's Registrar Accreditation Agreement and applicable registry policies. Clytrix acts as an accredited registrar or reseller.
- Renewal Responsibility: You are responsible for renewing your domain before its expiry date. Clytrix sends renewal reminders but is not liable if your domain expires due to non-payment or outdated contact information.
- Expired Domains: After expiry, domains enter a grace period (typically 30–45 days depending on registry), then a redemption period (30 days, subject to additional fees), then become available for public registration.
- Domain Disputes: Domain ownership disputes, cybersquatting, and trademark conflicts are governed by ICANN's Uniform Domain Name Dispute Resolution Policy (UDRP). Clytrix will comply with UDRP decisions but is not a party to such disputes.
- WHOIS Accuracy: You agree to provide and maintain accurate WHOIS contact information. Providing false registration data may result in domain suspension or cancellation without refund.
- Transfer Policy: Domain transfers to another registrar require an authorization (EPP) code, must not be in a lock period, and are subject to applicable transfer fees. Transfers initiated within 60 days of registration may be denied per ICANN policy.
9. Domain Reseller Policy
If you participate in the Clytrix Domain Reseller Program, you agree to the following reseller-specific terms:
- White-Label Support: Clytrix acts as an anonymous backend provider. You are solely responsible for providing all technical, sales, and billing support to your end-users. Clytrix will not interact directly with, or provide support to, your customers.
- Billing & Transactions: Reseller accounts are free from setup fees or advance deposits to explore, but domain registration, renewal, and transfer actions are billed in real-time. Resellers must have a funded balance in their reseller portal or pay immediately at checkout. If payment fails, the domain transaction will fail.
- API and Integration Usage: You are granted a limited, non-exclusive, non-transferable license to use the Clytrix Domain Reseller API and WHMCS module. You agree to respect the API rate limit of 60 requests per minute. Scraping registry data, brute-forcing, or excessive queries that degrade API performance are strictly prohibited and will result in immediate API key suspension.
- End-User Compliance: You must ensure all of your end-users agree to terms of service and acceptable use policies equivalent to those of Clytrix and the respective Registry rules (including ICANN regulations). You are directly responsible and liable for any spam, phishing, trademark infringement, or legal abuse originating from domains registered under your reseller account.
10. Intellectual Property
All content on the Clytrix website and client area — including text, graphics, logos, icons, software, and interface design — is the exclusive property of Clytrix Web Services or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. You may not:
- Copy, reproduce, or redistribute any part of our platform or materials without written permission
- Reverse engineer, decompile, or disassemble any software we provide
- Use our trademarks, logos, or service names without prior written consent
- Frame or mirror our services on any other website or application

11. User Content & Backup Policy
You retain full ownership of all content, data, files, databases, and applications you store or host on our servers ("User Content"). By using our services, you grant Clytrix a limited license to access, store, and process your User Content solely to provide and support the services you have purchased.
You are solely responsible for:
- Maintaining your own independent backups of your data. While Clytrix performs daily/weekly courtesy backups for server disaster recovery, these backups are not guaranteed and Clytrix is not liable for data loss.
- Ensuring your User Content does not violate any laws, third-party rights, or our Acceptable Use Policy.
- The security and confidentiality of access credentials to your hosted environment.
Access to backups and data restoration tools will be withheld if your account has an overdue invoice. Upon cancellation or termination for non-payment, your data will be available for retrieval for 7 days, after which it may be permanently deleted.
12. Affiliate Program
Clytrix offers an Affiliate Program where participants can earn 35% commission on qualifying hosting purchases made by referred customers. By participating in our Affiliate Program, you agree to the following terms:
- Commission Structure: Affiliates earn 35% of the first-year hosting purchase amount (excluding domain registrations, SSL certificates, and add-on services). Commissions are calculated on the net amount after any discounts or credits.
- Qualifying Sales: A sale qualifies for commission when a new customer (not previously registered with Clytrix) makes a purchase using your unique affiliate link and maintains their account for at least 30 days without requesting a refund.
- Cookie Duration: Affiliate tracking cookies are valid for 60 days from the initial click.
- Payout Schedule: Commissions are paid monthly for all qualified sales from the previous month, subject to a minimum payout threshold of $50 (or equivalent). Payments are made via PayPal, bank transfer, or account credit.
- Prohibited Activities: Affiliates may not use spam, misleading advertising, false claims, or any illegal means to promote Clytrix services. Self-referrals and use of coupon sites without approval are prohibited.
- Program Changes: Clytrix reserves the right to modify commission rates, terms, or terminate the program with 30 days' notice.
- Tax Responsibility: Affiliates are responsible for reporting and paying all applicable taxes on commission earnings.

13. Indemnification
You agree to indemnify, defend, and hold harmless Clytrix Web Services, its officers, directors, employees, and agents from any and all claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services in violation of these Terms
- Your User Content infringing third-party intellectual property or privacy rights
- Your violation of any applicable law or regulation
- Any unauthorized access to or use of our systems through your account
14. Termination & Deletion Lifecycle
We may terminate or suspend your account at any time for violation of these Terms, non-payment, or any activity deemed harmful to our network or other customers. You may cancel your account at any time by submitting a cancellation request through our client area. Upon cancellation or termination for non-payment, all customer data, configurations, and backups will be permanently and irreversibly deleted 7 days after the due date or cancellation date.
15. Limitation of Liability
To the maximum extent permitted by law, Clytrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the amount you paid for the specific service in the past 12 months.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved in the state or federal courts located in Wilmington, Delaware, USA, and you consent to the exclusive jurisdiction of such courts.
17. Changes to Terms
We reserve the right to update these Terms at any time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of our services after changes constitute acceptance of the new Terms.
